1. Agreement to Terms

Welcome to Prozilli Gaming. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Prozilli Entertainment ("Prozilli," "we," "us," or "our") governing your access to and use of prozilligaming.com and all related services, features, content, and applications (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services. We reserve the right to modify these Terms at any time, and your continued use of the Services following any changes constitutes acceptance of those changes.

2. Eligibility

You must be at least 13 years of age to use our general Services. Certain features or services may have additional age requirements:

• ZO Syndicate RP (FiveM server): You must be 18 years of age or older due to mature content
• Merchandise purchases: You must be 18 or have parental consent
• Donations: You must be 18 or have parental consent

By using our Services, you represent and warrant that you meet the applicable age requirements and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration and Security

3.1 Account Creation

Some features of our Services require you to create an account or link existing platform accounts (Discord, Twitch, YouTube, etc.). When creating or linking accounts, you agree to provide accurate, current, and complete information.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.

3.3 Platform Integrations

Our Services integrate with third-party platforms including Discord, Twitch, YouTube, Kick, TikTok, X (Twitter), Facebook, Instagram, and Trovo. When you connect these accounts, you authorize us to access certain information as described in our Privacy Policy. Your use of these platforms is also subject to their respective terms of service.

4. Services Description

4.1 Content Hub

Prozilli Gaming serves as the central hub for all Prozilli Entertainment content, including live streams, VODs, clips, and community features.

4.2 Merchandise

We offer official Prozilli Entertainment merchandise through our integrated store, powered by Printful. All merchandise purchases are subject to our Refund Policy.

4.3 Donations

Users may support our content creation through voluntary donations processed via Stripe. Donations are subject to our Refund Policy.

4.4 ZO Syndicate RP

We operate ZO Syndicate RP, a FiveM roleplay server. Access to and use of the server is subject to additional server rules and our Community Guidelines.

5. User Conduct

When using our Services, you agree not to:

• Violate any applicable laws, regulations, or third-party rights
• Use the Services for any illegal or unauthorized purpose
• Harass, abuse, threaten, or intimidate other users
• Post or transmit content that is defamatory, obscene, or offensive
• Impersonate any person or entity or misrepresent your affiliation
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use automated systems, bots, or scripts without our express permission
• Interfere with or disrupt the Services or servers
• Collect or harvest user information without consent
• Engage in any activity that could damage, disable, or impair the Services
• Use cheats, exploits, or unauthorized modifications in ZO Syndicate RP
• Circumvent any content-filtering techniques we employ

Violation of these conduct rules may result in immediate termination of your access to our Services without notice or refund.

6. Intellectual Property Rights

6.1 Our Content

The Services and all content, features, and functionality (including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software) are owned by Prozilli Entertainment or our licensors and are protected by copyright, trademark, and other intellectual property laws.

6.2 Trademarks

"Prozilli," "Prozilli Entertainment," "Prozilli Gaming," "ZO Syndicate RP," "Lisa," and all related names, logos, and designs are trademarks of Prozilli Entertainment. You may not use these marks without our prior written permission.

6.3 User Content

You retain ownership of content you create and submit through our Services. However, by submitting content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your content in connection with our Services and business operations.

6.4 DMCA Compliance

We respect intellectual property rights and respond to valid DMCA takedown notices. See our DMCA & Copyright Policy for more information.

7. Purchases and Payments

7.1 Merchandise

All merchandise is produced on-demand through our partner Printful. Prices are displayed in USD unless otherwise indicated. You are responsible for any applicable taxes and shipping costs. Orders cannot be cancelled once production begins (typically within 2 hours of order placement).

7.2 Donations

Donations are voluntary contributions to support our content creation. Donations are generally non-refundable except in cases of fraud or technical error. See our Refund Policy for details.

7.3 Payment Processing

All payments are processed securely through Stripe. We do not store your complete payment card information on our servers. By making a purchase, you represent that you are authorized to use the payment method provided.

8. Third-Party Services and Links

Our Services may contain links to third-party websites, services, or content that are not owned or controlled by Prozilli Entertainment. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

Your interactions with third-party platforms (including Twitch, YouTube, Discord, and others) are governed by those platforms' terms of service and privacy policies. We encourage you to review the terms and policies of any third-party services you access through our Services.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, PROZILLI ENTERTAINMENT DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Services are free of viruses or other harmful components. We do not guarantee any specific results from use of the Services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROZILLI ENTERTAINMENT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Prozilli Entertainment and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of another party.

12. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than arbitration, you waive any right to a jury trial.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, Community Guidelines, DMCA Policy, and Refund Policy, constitute the entire agreement between you and Prozilli Entertainment regarding your use of the Services.

14.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
